ALMANAZL Platform Terms of Use

Effective Date: 15 July 2025

These terms (“Terms of Use”) set out and govern your use of the ALMANAZL platform (“Almanazl”), which is owned by ALMANAZL Company and accessible through the website www.almanazl.sa and any related mobile application operated from time to time (collectively referred to as the “Platform”). These terms also govern your access to and use of any content, information, or materials published or made available on the Platform (collectively referred to as the “Content”). These Terms of Use regulate access to and use of the Platform and its Content by every visitor and user of the Platform.

Who We Are and How to Contact Us:

ALMANAZL Company (Unified National Number: 7050717904 – FAL License No.: ...... – License No.: .........) is the sole owner and official operator of the Platform (referred to herein as “ALMANAZL,” “we,” “us,” or “our”).

Acceptance of the Terms:

Your use of, access to, or continued use of the Platform constitutes your full and unconditional acceptance of these Terms, and you acknowledge and agree that these Terms govern and restrict your access to and use of the Platform and its Content. You understand and agree that these Terms constitute a binding agreement between you and ALMANAZL. If you are using the Platform on behalf of a business or other legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms. If you do not agree to be bound by these Terms of Use, you must not access or use the Platform or its Content, and you must immediately cease any use thereof.

Our Right to Modify the Terms of Use:

We may modify these Terms at any time without prior notice. The updated version will be published on this page. If you hold an active account, we may notify you of any material changes by sending a notice to your registered email or through in-platform notifications (for example, where notification is required by law). In all cases, you are responsible for periodically reviewing these Terms on this page to stay informed of any updates.

Changes to the Platform:

We reserve the right to modify any features or Content of the Platform, or both, at any time without prior notice. Such modifications may include, without limitation, updates to functionalities, technologies, business priorities, or compliance with applicable regulations or market practices.

Suspension or Termination of the Platform:

We do not guarantee the continuous availability of the Platform or its Content. We may suspend, terminate, or restrict access to all or part of the Platform for operational or business reasons at any time.

Privacy:

Please refer to our Privacy Policy to understand how we collect, use, process, and share your personal data.

Restrictions on Use:

The following actions are strictly prohibited:

• Using the Platform if you are under 18 years of age.
• Impersonating any person or entity during registration or use of the Platform.
• Uploading or publishing malicious software or illegal content.
• Using the Platform in any unlawful manner or for any unlawful purpose.
• Attempting unauthorized access to the Platform, its systems, servers, or any database connected to it.
• Copying, re-publishing, renting, selling, trading, re-selling, or otherwise exploiting any part of the Platform or its Content for commercial purposes without our prior written consent.
• Using data-extraction tools or automated crawling technologies to retrieve information from the Platform or its Content.
• Tampering with the Platform or performing reverse engineering of its source code.
• Posting or distributing any offensive, fraudulent, or defamatory content about yourself or others.
• Using the Platform to create or send unsolicited advertisements, promotions, or spam messages.

We will report any prohibited activity to the relevant authorities and may disclose your identity to law-enforcement or other competent bodies as required.

Accounts:

• You must create and register an account to access certain features, even if you browse the Platform as a visitor. When registering and creating an account, you must provide specific information about yourself as required by the Platform’s registration process. Registration information must be accurate and up to date. If it is found that any of the information provided is inaccurate, we reserve the right, without any liability, to suspend and/or deactivate your account.
• You are solely responsible for maintaining the confidentiality of your login credentials (including, but not limited to, your account password) and for all activities conducted under your account. If you become aware of or suspect any unauthorized use of your account or any security breach, you must notify us immediately.

Paid Services:

From time to time, ALMANAZL may offer paid services or promotional offers for paid services on the Platform, including but not limited to paying fees to feature your listing on the Platform or to enhance its visibility in search results. You acknowledge and agree to the following regarding any paid service:

• All service fees are non-refundable under any circumstances.
• Paid services are provided for your convenience only; ALMANAZL does not guarantee the success of any listing or a specific or minimum number of interested customers.

Real Estate Listings:

The Platform enables users who wish to rent or sell property (the “Owner,” “Broker/Agent,” or “Representative”) to post such property (“Listing”) to be viewed by other users and/or visitors. A user seeking to rent (the “Tenant”) or purchase (the “Buyer”) a listed property may contact the Owner or authorized representative via the Listing to obtain further information, arrange a viewing, or submit an offer.

Under the applicable real-estate platform regulations in the Kingdom of Saudi Arabia, by posting a real-estate Listing on the Platform, you acknowledge and assume full responsibility for the following:

1 – If you are a property owner, you represent and warrant that:

1. You are legally authorized under Saudi law to list the property on the Platform.
2. You are the lawful and registered owner of the property, or you are otherwise legally authorized to lease or sell the property listed.
3. If advertising an “off-plan” property, the project is registered with the competent real-estate regulatory authority and you have obtained the necessary permit.
4. The Listing includes a complete and accurate description of the property.
5. Each Listing relates to one (1) property only; multiple properties in one Listing are prohibited.
6. The property is actually available for rent or sale (as applicable), and you must remove the Listing once it is rented, sold, or otherwise unavailable.
7. The Listing covers only properties that may lawfully be leased or sold, subject to any statutory restrictions, including but not limited to occupancy limits.
8. Your Listing complies with all applicable laws and regulations.
9. You will act in good faith in all dealings with potential tenants or buyers and comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.
10. You comply with the Saudi e-Commerce Law, its executive regulations, and all related directives.
11. You comply with the Anti-Cybercrime Law and bear full responsibility for any violation or unlawful use, without any liability on ALMANAZL.

2 – If you are an authorized agent or broker, you represent and warrant that:

1. You are legally authorized under Saudi law to list properties on the Platform.
2. You are duly authorized by the lawful and registered property owner to list the property on the Platform.
3. You hold a valid license from the competent regulatory authority to conduct real-estate advertising activities.
4. You hold all other valid commercial licenses required to conduct business through the Platform.
5. If advertising an “off-plan” property, the project is registered with the competent authority and you have obtained the necessary permit.
6. The Listing includes a complete and accurate description of the property.
7. Each Listing relates to one (1) property only; multiple properties in one Listing are prohibited.
8. The property is actually available for rent or sale (as applicable), and you must remove the Listing once it is rented, sold, or otherwise unavailable.
9. The Listing covers only properties that may lawfully be leased or sold, subject to statutory restrictions, including but not limited to occupancy limits.
10. Your Listing complies with all applicable laws and regulations.
11. You will act in good faith in all dealings with potential tenants or buyers and comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.
12. You comply with the Saudi e-Commerce Law, its executive regulations, and all related directives.
13. You comply with the Anti-Cybercrime Law and bear full responsibility for any violation or unlawful use, without any liability on ALMANAZL.

3 – If you are a tenant or buyer, you acknowledge and agree that:

1. ALMANAZL is not a real-estate broker, intermediary, or agent.
2. ALMANAZL is not responsible for verifying the accuracy, completeness, or validity of any property Listings, and you are solely responsible for conducting your own due diligence and independent verification; you must not rely solely on the content of any Listing.
3. You possess the legal capacity and authorization to rent and/or purchase property through the Platform.
4. You will act in good faith in your dealings with property owners or agents and comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.
5. You comply with the Saudi e-Commerce Law, its executive regulations, and all related directives.
6. You comply with the Anti-Cybercrime Law and bear full responsibility for any violation or unlawful use, without any liability on ALMANAZL.

By using ALMANAZL, you undertake to comply with all applicable Saudi laws and regulations. Any breach of a law, regulation, or provision — including, without limitation, the Real-Estate Advertising Regulations — shall constitute valid grounds for ALMANAZL to suspend or terminate your account, remove your Listing, or take appropriate legal action.

Disclaimer of Responsibility for Listings:

You acknowledge and agree, with full knowledge, that we are not a party to any transaction between users. We are under no obligation to monitor any Listing or Content, and we accept no liability for any Listing published on the Platform. Even if we review or moderate a Listing before publication, such review is limited solely to improving its language and/or presentation. If you choose to rent or purchase a property through the Platform, you are solely responsible for contacting and contracting with the user who published the Listing. Notwithstanding the foregoing, we reserve the right to monitor Listings and have the full discretion to remove any Listing from the Platform if, in our sole judgment, it violates these Terms of Use, without any liability on our part.

Uploaded Content and Intellectual Property Rights Policy:

A. Ownership:

All rights related to the Platform and its Content—including but not limited to text, images, logos, audio and video clips, source code, platform design, databases, and icons—are owned by ALMANAZL and are protected by national and international laws and regulations governing copyright, intellectual property, and trademarks.

B. Permitted Use:

We grant you a personal, non-exclusive, non-transferable, and revocable license to use the Platform and its Content for your personal purposes only, in accordance with these Terms of Use.

2. Copy, republish, distribute, or modify any part of the Platform’s Content for commercial, advertising, or public purposes without prior written permission from ALMANAZL.
3. Use any trademarks, logos, symbols, or designs belonging to the Platform without prior written consent.
4. Extract or reuse data or images by any automated means (such as bots, crawlers, or scraping tools).

C. Intellectual Property Infringement:

ALMANAZL respects the intellectual property rights of others and is committed to removing any Content that is properly reported as infringing upon such rights. If you believe that any Content on the Platform infringes your intellectual property rights, you may report it via email at:

The report must include the following information:

1. The name of the owner or legal representative.
2. A precise description of the allegedly infringing Content.
3. The link to the Listing or page containing the Content.
4. Proof of ownership (e.g., a trademark registration certificate or license of use).
5. A valid contact method for follow-up.

We will review the report within a reasonable period and take appropriate action in accordance with applicable laws.

D. Penalties and Liability:

ALMANAZL reserves the right to take any appropriate legal action, including suspending user accounts, deleting Content, or pursuing legal measures against any user who violates this policy or infringes upon the intellectual property rights of ALMANAZL or third parties.

For any Content you upload to the Platform or for your right and license to use the Platform and its Content, you acknowledge that:

• We grant you a personal, non-exclusive, non-transferable, and revocable license to use the Platform and its Content in accordance with these Terms of Use. You may not use any part of the Content for commercial purposes without our written permission, except in the following limited case:
• You may print or download one copy of a page (or pages) from the Platform for personal use and share it to draw others’ attention to the Content on the Platform, provided that:
  1. No modifications are made to the downloaded or printed copies of any page(s) of the Platform.
  2. No illustrative materials (such as images, videos, audio clips, or graphics) are used separately from the accompanying text.
  Any violation of these conditions without our permission constitutes a breach and may result in legal liability.
• ALMANAZL is the owner and licensor of the Platform and its Content (including all intellectual property rights), encompassing, without limitation, the design, text, graphics, and their arrangement and organization. The Platform and its Content are protected by national and international laws, conventions, and agreements.
• All trademarks, logos, trade dress, service names, and service marks (“Marks”) displayed on the Platform are our property or that of designated third parties. You may not use any Marks without prior written consent.
• All Content you upload to the Platform—including, without limitation, any part of any Listing—shall be treated as non-confidential.
• You affirm, with full acknowledgment, that any Content, trademarks, images, videos, or audio clips you provide are your property or that you hold all necessary rights and licenses for them, and that you comply with all applicable laws regarding copyright, trademark, patent, moral rights, advertising, databases, and other intellectual property rights.
• Any Content you submit or publish on the Platform as part of your use of our services or Listings does not infringe the rights of others anywhere in the world, including, without limitation, intellectual property rights (whether registered or unregistered).
• You grant us and other Platform users a non-restricted license to use, retain, copy, distribute, and make such Content available to third parties. Specifically, you grant us a perpetual, non-exclusive, royalty-free, transferable, worldwide license to use, reproduce, distribute, create derivative works from, display, and perform that Content in connection with any service offered on or for the promotion of the Platform.
• You are solely responsible for securing and backing up your Content.
• We reserve the right to disclose your identity to any internal or external party claiming that Content you posted or uploaded to the Platform infringes its intellectual property rights or privacy rights.
• We reserve the right, at our sole discretion and without notice, to remove any Content you publish or upload to the Platform if we determine it does not comply with these Terms of Use.

Except for the rights expressly granted under these Terms of Use:

1. All Content on the Platform is our property or that of our licensors, including but not limited to text, graphics, logos, images, audio/video clips, digital downloads, and software. We (or our licensors, as applicable) retain all ownership rights, title, and interests in the Platform and the services, including all related intellectual property rights.
2. All rights, ownership, and interests in any information, materials, or other Content you provide through your use of our services, including any intellectual property rights therein, shall become our property.
3. You agree not to use our trademarks without prior written consent.
4. All rights not expressly granted to you under these Terms of Use are reserved by us or our licensors.

Payment Processing:

Certain fees are collected through the Platform, and in specific cases, we may process payments from you directly through the Platform (including when you choose to purchase paid services). By providing your payment method details at checkout, you authorize us (and our contracted payment processing provider(s)) to charge the amount specified at the time of purchase to your selected payment method. In all cases, we are not liable for any loss you may incur if the payment method you select does not have sufficient funds to cover the full amount due.

Liability and Indemnities:

1. Nothing in these Terms of Use shall limit or exclude the liability of either party for:
   1. Fraud, including fraudulent misrepresentation, committed by that party.
   2. Death or personal injury caused by that party’s negligence.
   3. Any other liability that cannot be limited or excluded under applicable law.
2. In all circumstances, each user of the Platform and/or its services and/or pages irrevocably acknowledges that we—together with our parent company, subsidiaries, affiliates, owners, directors, officers, agents, employees, suppliers, subcontractors, and licensors—shall not be liable, whether under these Terms of Use or in tort, negligence, breach of statutory duty, or otherwise, for any claim relating to loss of profits, data, information, business interruption, financial loss, or any special, indirect, or consequential damages, even if we or our affiliates have been advised of the possibility of such damages.
3. In addition, we (including our parent company, subsidiaries, affiliates, owners, directors, officers, agents, employees, suppliers, subcontractors, and licensors) shall not be liable, and you agree to release and indemnify us from any liability, for any damage or loss arising directly or indirectly from:
   1. Any content or information you provide when using the Platform.
   2. Your use of or inability to use the services.
   3. Any coordination or guidance we provide to help improve listings and/or content.
   4. Delays or interruptions in service delivery.
   5. Viruses or other malicious software encountered through access to the services.
   6. Errors, failures, or inaccuracies within the services.
   7. The actions or omissions of other Platform users.
   8. Suspension or any other measures we take relating to your use of the Platform or services.
   9. The duration or appearance of your listings in search results.
   10. Your need to modify business practices, content, or behavior—or any business loss—arising from changes to these Terms of Use.
4. If you are using the Platform in a professional or commercial capacity, the Platform and its Content are provided “as is” and “as available.” We disclaim all implied warranties, representations, or conditions that may apply to the Platform or its Content. We accept no liability for any loss or damage, whether contractual, tortious (including negligence), statutory, or otherwise, arising out of or in connection with your use of or inability to use the Platform or reliance on its Content. In any case, we are not liable for:
   • Loss of profit, sales, revenue, business, business interruption, anticipated savings, business opportunity, goodwill, reputation, data loss or corruption, or any indirect or consequential losses or damages.
5. If you are using the Platform in a personal capacity, you acknowledge and agree that the Platform is made available solely for your private and non-commercial use. We make no guarantee that the Platform or its Content will always be available or error-free, or that it will meet any specific purpose. You agree not to use the Platform for commercial or professional purposes, and we accept no liability for loss of profit, business, or opportunities. In the event of our breach of these Terms, ALMANAZL’s total liability to you, regardless of cause, shall not exceed the lesser of: (a) the amount paid by you to ALMANAZL for the paid service in dispute (if applicable), or (b) one thousand Saudi Riyals (SAR 1,000).
6. In accordance with this clause (Liability and Indemnities), if any of paragraphs 2, 3, 4, or 5 are found unenforceable for any reason, our total liability—including that of our parent company, subsidiaries, affiliates, owners, directors, officers, agents, employees, suppliers, subcontractors, and licensors—shall be limited to the lesser of: (a) the amount paid to ALMANAZL for the disputed service, or (b) one thousand Saudi Riyals (SAR 1,000).
7. You agree to indemnify, defend, and hold harmless us—including our parent company, subsidiaries, affiliates, owners, directors, officers, agents, employees, suppliers, subcontractors, and licensors—from and against any losses, damages, or expenses (including legal fees, attorney’s fees, and court costs) (“Claims”) arising from:
   1. Any claim or demand by a third party resulting from your use of the services.
   2. Your violation of any provisions of these Terms of Use, including but not limited to warranties, representations, and covenants.
   3. Your violation of any applicable law, including but not limited to data protection or anti-spam regulations.
   4. Your use of our services, including but not limited to content you publish, products you list, or trademarks that infringe third-party intellectual property rights, or content that is defamatory, libelous, or otherwise infringes the rights (including privacy rights) of others (including other Platform users).

Violation and Breach of the Terms of Use:

If, in our sole and absolute discretion, we determine that you are in breach—or have breached—these Terms of Use, we may take any action we deem appropriate, including but not limited to: suspending or revoking your right to use the Platform or its Content, closing your account, taking legal action against you, or any combination thereof.

Reporting Violations:

Users and/or Visitors of the Platform:

In all cases, we commit to exercising reasonable diligence and effort to remove the violating Content from the Platform within an acceptable timeframe.

Dispute Resolution:

If a dispute arises between you and us, we encourage you to contact us directly to attempt an amicable resolution by emailing us at:

We pledge to review the complaint, exercise reasonable diligence, and strive to resolve the dispute or conflict. If, unfortunately, no amicable settlement can be reached, these Terms of Use shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.

To the fullest extent permitted by applicable law, any dispute or claim arising out of or in connection with these Terms of Use shall be exclusively referred to arbitration under the following terms and procedures:

1. Arbitration shall be conducted through the Saudi Center for Commercial Arbitration (SCCA).
2. You and we irrevocably acknowledge, with full legal and statutory capacity, the following:
   1. The language of arbitration shall be Arabic.
   2. The number of arbitrators shall be one (1).
   3. The place of arbitration shall be Riyadh, Kingdom of Saudi Arabia.
   4. No arbitral award, order, or decision may be published.
   5. Our maximum liability for arbitration fees shall be SAR 1,500, and you alone shall bear any amount exceeding this limit.
   6. If an award is issued against ALMANAZL, the maximum amount payable under any arbitration judgment shall be the lesser of: (a) the amount paid for the disputed service, or (b) one thousand Saudi Riyals (SAR 1,000). Payment of that amount shall constitute full and final settlement, releasing ALMANAZL of all liability.

Force Majeure:

We shall not be liable for any events beyond our control, nor for any failure or delay in performing any of our obligations caused by events beyond our reasonable control (each a “Force Majeure Event”).

A Force Majeure Event includes any act, occurrence, omission, or incident outside our reasonable control. Performance of our obligations under these Terms of Use shall be suspended for the duration of the Force Majeure Event, and we shall be entitled to an extension of time equal to that period.

We undertake to make reasonable efforts to end the Force Majeure Event and/or find a solution that allows us to fulfill our obligations under these Terms despite its continuation.

General Provisions:

1. The Platform may contain links to third-party websites or content belonging to such third parties, including but not limited to advertisements or promotional materials. These links are provided solely for your convenience and information. Providing such links does not, under any circumstances, constitute a recommendation, endorsement, or approval by us. You acknowledge and agree that we have no control over the companies owning these third-party links, their content, services, or products. Our inclusion of such links does not constitute an offer or invitation to use any of those services or products. You acknowledge and agree that we are not responsible for, nor do we exercise control over, the content, policies, or practices of those external sites or entities, and you fully release us from any liability related to third-party content or any loss or damage arising from your use of or reliance on such links.
2. You may add a link directing to any page or specific content on our Platform, provided that it does not exploit or harm our reputation. You may not place any link on the Platform that leads to another website, nor may you create any link implying any form of association, approval, or endorsement from us where none exists. Upon learning of such a violation, we reserve the absolute right to pursue you legally and to revoke linking permissions or remove any internal links on the Platform, with or without prior notice.
3. We do not guarantee the security of the Platform or its Content, nor that they are free from defects, errors, or viruses. You are solely responsible for configuring your device safely to access the Platform and view its Content, and we strongly advise using locally and internationally approved antivirus software.
4. If you have entered into any other agreements with ALMANAZL or its affiliates, or accepted additional terms governing the use of other services we provide, then these Terms of Use shall apply in addition to those other agreements. In the event of any conflict between these Terms and another agreement between you and ALMANAZL or its affiliates, these Terms shall prevail to the extent of the conflict.
5. The governing language of these Terms of Use is Arabic. If these Terms are translated into another language and any inconsistency arises between the Arabic text and the translation, the Arabic version shall prevail.
6. We reserve the right to assign or transfer our rights and obligations under these Terms of Use to any other company or institution. We will notify you in writing in such case, and we guarantee that the transfer will not affect your rights under these Terms.
7. These Terms of Use are concluded solely between you and ALMANAZL. No third party shall have any right to enforce or rely on any provision of these Terms.
8. We may exercise any of our rights under these Terms at any time we deem appropriate. Any delay in taking action against you for violating these Terms does not constitute a waiver of our right to take action later, nor does it release you from your obligations.
9. If any provision of these Terms of Use is deemed unlawful or invalid by a court or relevant authority, the remaining provisions shall remain in full force and effect. Each clause of these Terms operates independently from the others. If any clause is found invalid or unenforceable, the remainder shall continue to be valid and enforceable.
10. This Platform is intended for users within a specific geographic region. We make no guarantee that the Content available on or through the Platform is suitable for use or available in other territories not explicitly listed, nor do we guarantee compliance of the Platform with the laws or regulations of regions where we do not operate.
11. From time to time, we may offer free tools, solutions, discount coupons, or other features, which we may cancel at our discretion without any liability. Such features may include, but are not limited to:
    • Founder Broker: a badge indicating that the broker is among the first users of the Platform.
    • Free Packages: we reserve the exclusive right, without liability, to offer or cancel free packages or their related services and solutions at any time without prior notice.
    • Verified Listings: from time to time, we may verify the accuracy of certain Listings upon request or through our internal process. The “Verified” badge will appear on Listings that have undergone this check. Although we take all reasonable measures to ensure that verified Listings are accurate and up to date, such verification is based on information provided by the respective user. Therefore, we do not guarantee the completeness or accuracy of any verified Listing. This badge is provided solely to facilitate user experience.
    • AI Tools and Solutions: we may offer AI-based tools developed for informational and content-quality improvement purposes, provided by third-party service providers. The responses, content, or outputs generated by such tools are based on algorithmic and text-data inputs, and should not be solely relied upon. These AI tools may occasionally produce incomplete, inaccurate, or inappropriate responses due to their inherent limitations. You are solely responsible for any risks associated with using AI tools on or outside the Platform, and you should not rely on their responses or information for decision-making. We accept no responsibility for any action you take (or fail to take) based on responses or information from AI tools, as they are operated by third parties outside of our control.
